Terms of Service

1. Agreement to Terms

By accessing or using the Flint Pay platform, APIs, dashboard, or any related services (collectively, the "Services") provided by Flint Pay Inc. ("Flint," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Services.

2. Description of Services

Flint Pay provides order-first payment processing APIs and tools that enable businesses ("Merchants") to accept payments, manage orders, issue refunds, and handle related commerce operations. Payment processing is facilitated through our payment processing partner, Stripe.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Account Registration

To use the Services, you must create an account and complete our onboarding process, which includes identity verification through our payment processing partner. You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activity under your account.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Process transactions for prohibited businesses or activities as defined by our payment processing partner's terms
  • Engage in fraudulent, deceptive, or misleading practices
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services
  • Reverse-engineer, decompile, or attempt to extract the source code of the Services
  • Use the Services in any manner that could damage, disable, or impair the Services

6. Fees and Payment

Flint Pay charges fees for payment processing as described on our pricing page. Fees are deducted from transaction proceeds before settlement. We reserve the right to change our fee structure with 30 days' prior written notice. You are responsible for all taxes associated with your use of the Services.

7. Payment Processing

Payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By using the Services, you agree to be bound by Stripe's terms as they may be modified from time to time.

8. Intellectual Property

The Services, including all software, APIs, documentation, and content, are owned by Flint Pay and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

9. AI-Powered Features

The Services include optional AI-powered features, such as the dashboard assistant ("AI Assistant"), that use third-party artificial intelligence services to help you manage your account.

How the AI Assistant works

When you use the AI Assistant, your messages and relevant account data (such as order details, customer names, payment amounts, and account settings) are sent to third-party AI providers to generate responses. Sensitive information such as full email addresses, phone numbers, billing addresses, and API key secrets are redacted or masked before being sent to the AI provider.

Actions taken by the AI Assistant

The AI Assistant can perform actions on your account, including creating orders, issuing refunds, managing customers, and other operations available through the dashboard. Write operations require your explicit confirmation before execution. You are solely responsible for reviewing and approving any actions the AI Assistant takes on your behalf, and for the consequences of those actions.

Limitations

AI-generated responses are provided for informational and convenience purposes only. They do not constitute financial, legal, tax, or professional advice. AI responses may be inaccurate, incomplete, or outdated, and you should independently verify any information before relying on it. Flint Pay is not liable for any losses or damages resulting from actions taken based on AI-generated responses.

10. Acceptable Use of AI Features

In addition to the general acceptable use restrictions in Section 5, you agree not to:

  • Use the AI Assistant to generate content that violates applicable laws or these Terms
  • Attempt to manipulate, exploit, or circumvent the AI Assistant's safety measures or content filters
  • Rely on AI-generated responses as a substitute for professional financial, legal, or tax advice
  • Submit sensitive personal data (such as Social Security numbers, government IDs, or full payment card numbers) in AI Assistant messages

11. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You are responsible for ensuring that your use of the Services complies with applicable data protection laws, including obtaining necessary consents from your customers.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flint Pay, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services (including the AI Assistant), your violation of these Terms, or your violation of any rights of a third party.

13. Limitation of Liability

To the maximum extent permitted by law, Flint Pay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services, including any reliance on AI-generated responses or actions taken by the AI Assistant. In no event shall Flint Pay's aggregate liability exceed the total fees paid by you to Flint Pay during the twelve (12) months preceding the event giving rise to the claim.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, Flint Pay makes no warranty that AI-generated responses will be accurate, complete, or suitable for any particular purpose.

15. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will survive, including Sections 8, 9, 12, 13, 14, 16, and 17.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Changes to Terms

We may revise these Terms from time to time. If we make material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
